Algemene voorwaarden

Welkom bij onze Algemene Voorwaarden in het nederlands, engels en frans. Hier vindt u de belangrijkste regels en voorwaarden met betrekking tot onze fotografiediensten, levering, betaling en rechten en plichten van beide partijen. Wij streven naar duidelijkheid en transparantie, zodat u met vertrouwen met ons samenwerkt.

Algemene Voorwaarden TdProjectPhotography

Artikel 1: Toepasselijkheid

Deze algemene voorwaarden zijn van toepassing op alle offertes, aanbiedingen, bestellingen, overeenkomsten, leveringen van diensten of producten en facturen door of namens TdProjectPhotography.
Afwijken van deze voorwaarden is uitsluitend mogelijk indien dit expliciet en schriftelijk is overeengekomen tussen beide partijen.

Artikel 2: Offertes en aanbiedingen

Alle aanbiedingen en niet-ondertekende offertes van TdProjectPhotography zijn vrijblijvend, tenzij uitdrukkelijk anders is aangegeven.
Een door de klant ondertekende en/of schriftelijk geaccepteerde offerte wordt als een bindende overeenkomst beschouwd. Indien een voorschot wordt betaald, wordt de offerte eveneens bindend.
Offertes en aanbiedingen zijn maximaal één (1) week geldig na de datum van verzending, tenzij anders vermeld. Bij niet-tijdige aanvaarding vervalt de offerte automatisch.
Uitgebrachte offertes gelden niet automatisch voor toekomstige opdrachten of nabestellingen, tenzij dit expliciet schriftelijk is overeengekomen.

Artikel 3: Aanvaarding van offertes

Door het accepteren van een offerte gaat de klant uitdrukkelijk akkoord met de algemene voorwaarden van TdProjectPhotography en alle daarin opgenomen bepalingen.
Wijzigingen in de overeengekomen opdracht kunnen uitsluitend plaatsvinden met wederzijdse, schriftelijke instemming van beide partijen.
TdProjectPhotography behoudt zich het recht voor om de prijs van de overeenkomst aan te passen indien de klant na acceptatie wijzigingen aanbrengt in de opdracht, of indien er sprake is van onvoorziene, dwingende externe kostenstijgingen.

Artikel 4: Betalingen en betalingstermijnen
4.1 Voorschot en restantbetaling

Bij de acceptatie van een offerte is de klant een voorschot van 30% van het totale offertebedrag verschuldigd. De betaling van dit voorschot impliceert tevens de onvoorwaardelijke aanvaarding van deze algemene voorwaarden.
Het resterende saldo dient uiterlijk zeven (7) dagen vóór de datum van de fotoreportage volledig te zijn voldaan.
Bij last-minute boekingen (binnen 7 dagen voor de reportage) dient het volledige factuurbedrag direct bij boeking te worden voldaan.
Betalingen dienen te geschieden via overschrijving op het bankrekeningnummer zoals vermeld op de offerte of factuur.

4.2 Betalingsvoorwaarden en opschorting

Facturen dienen uiterlijk op de vermelde vervaldatum te worden voldaan. Indien betaling niet binnen deze termijn is ontvangen, is de klant van rechtswege in verzuim zonder dat hiervoor een nadere ingebrekestelling is vereist.
Vanaf de vervaldatum is de fotograaf gerechtigd om de wettelijke (commerciële) rente en buitengerechtelijke incassokosten in rekening te brengen conform de geldende wetgeving.
TdProjectPhotography heeft het recht om de uitvoering van de opdracht of de levering van de definitieve foto's op te schorten totdat alle openstaande bedragen volledig zijn voldaan.

4.3 Niet-betaling en invorderingskosten

Bij niet-tijdige betaling door een zakelijke klant (B2B) wordt het openstaande bedrag van rechtswege en zonder voorafgaande ingebrekestelling verhoogd met een intrestvoet conform de Wet Betalingsachterstand bij Handelstransacties, vermeerderd met een forfaitaire vergoeding van €40,- voor administratiekosten.
Bij niet-tijdige betaling door een particuliere klant (B2C) wordt er eerst een kosteloze eerste herinnering verstuurd met een wettelijke betalingstermijn van veertien (14) dagen. Na het verstrijken van deze termijn worden de wettelijke rente en de maximaal wettelijk toegestane schadevergoedingen in rekening gebracht.
Indien de klant nalatig blijft, zal TdProjectPhotography een incassobureau of gerechtsdeurwaarder inschakelen. Alle hiermee gepaard gaande buitengerechtelijke en gerechtelijke kosten komen volledig voor rekening van de klant.

Artikel 5: Prijzen, extra uren en bijkomende kosten

Alle prijzen van TdProjectPhotography zijn uitgedrukt in euro’s (€). TdProjectPhotography is vrijgesteld van btw op grond van de bijzondere vrijstellingsregeling voor kleine ondernemingen; er wordt bijgevolg geen btw in rekening gebracht.
Indien de fotoreportage uitloopt of op verzoek van de klant wordt verlengd, wordt een meerprijs voor extra uren in rekening gebracht.
De tarieven voor extra uren bedragen €90,- per uur voor uren tussen 07:00 en 22:00 uur, en €120,- per uur voor uren tussen 22:00 en 07:00 uur. Deze extra uren worden berekend per begonnen half uur en worden op basis van nacalculatie op de eindfactuur geplaatst, tenzij vooraf anders is overeengekomen.
Alle kosten voor parkeren (inclusief straatparkeren, parkeergarages en eventuele parkeervergunningen) die de fotograaf moet maken op de locatie van de opdracht, zijn niet inbegrepen in de standaardtarieven. Deze kosten worden op basis van nacalculatie volledig doorberekend aan de klant. De klant is verantwoordelijk voor het vooraf doorgeven van eventuele parkeerbeperkingen of specifieke instructies met betrekking tot de bereikbaarheid van de locatie.
Indien de reistijd, de planning of de duur van de opdracht een overnachting noodzakelijk maakt, worden de hotelkosten volledig doorberekend aan de klant. De noodzaak hiervan wordt altijd vooraf met de klant afgestemd. Tenzij anders overeengekomen, reserveert en betaalt de fotograaf de accommodatie (op basis van een standaard tweepersoonskamer inclusief ontbijt in een comfortabel middenklasse hotel), waarna deze kosten op basis van nacalculatie op de eindfactuur worden geplaatst.

Artikel 6: Annulering door de klant
6.1 Herroepingsrecht (Bedenktijd)

Indien de overeenkomst op afstand (bijvoorbeeld online of per e-mail) is gesloten, heeft de particuliere klant (consument) het wettelijke recht om de opdracht binnen veertien (14) kalenderdagen na de datum van acceptatie kosteloos en zonder opgave van redenen te herroepen.
Dit herroepingsrecht vervalt indien de fotoreportage met uitdrukkelijke instemming van de klant volledig is uitgevoerd binnen deze termijn van 14 dagen.

6.2 Annulering van huwelijksreportages

Na het verstrijken van de wettelijke herroepingstermijn kan de klant de huwelijksreportage uitsluitend per e-mail (via info@tdprojectphotography.be) annuleren onder de volgende voorwaarden:
- Bij annulering tot 31 kalenderdagen vóór de geplande datum van de huwelijksreportage is de klant een vaste vergoeding van 30% van het totale offertebedrag verschuldigd (overeenkomend met het betaalde voorschot).
- Bij annulering vanaf 30 kalenderdagen tot de geplande datum van de huwelijksreportage is de klant het volledige bedrag (100%) van de offerte verschuldigd.

6.3 Annulering van andere reportages

Voor alle reportages die geen betrekking hebben op huwelijken gelden na de herroepingstermijn de volgende annuleringsvoorwaarden:
- Bij annulering tot zeven (7) kalenderdagen vóór de geplande datum van de reportage is een vergoeding van 30% van het totale bedrag verschuldigd.
- Bij annulering binnen zeven (7) kalenderdagen vóór de datum van de reportage is het volledige offertebedrag (100%) verschuldigd.

Artikel 7: Annulering of overmacht door TdProjectPhotography

TdProjectPhotography behoudt zich het recht voor om de overeenkomst, zonder opgave van redenen, kosteloos te ontbinden binnen een termijn van zeven (7) kalenderdagen volgend op de datum van acceptatie van de offerte. Reeds gedane betalingen worden binnen 14 dagen volledig teruggestort.
In geval van overmacht (waaronder extreme weersomstandigheden, ernstige ziekte of ongeval van de fotograaf, acute technische mankementen of overheidsmaatregelen) heeft TdProjectPhotography het recht de opdracht te annuleren of te verplaatsen.
TdProjectPhotography zal zich in dit geval maximaal inspannen om een gelijkwaardige, vervangende fotograaf te vinden. Indien dit niet mogelijk blijkt, wordt de overeenkomst ontbonden en ontvangt de klant alle reeds gedane (aan)betalingen volledig terug.

Artikel 8: Verplaatsen of uitstellen van de opdracht

De klant kan een reguliere fotoreportage (met uitzondering van huwelijksreportages) tot twintig (20) kalenderdagen na de datum van acceptatie van de offerte kosteloos verplaatsen naar een nieuwe datum, mits deze datum binnen hetzelfde kalenderjaar valt en op basis van de beschikbaarheid van TdProjectPhotography.
Bij het verplaatsen van de opdracht na deze termijn van 20 kalenderdagen, wordt een administratieve meerprijs van 10% van het totale offertebedrag in rekening gebracht, exclusief eventuele reeds gemaakte reiskosten of hotelkosten.
Het verplaatsen van een huwelijksreportage door de klant wordt vanwege de specifieke agendaplanning altijd beschouwd als een annulering, waarop de voorwaarden uit Artikel 6.2 onverkort van toepassing zijn, tenzij uitdrukkelijk schriftelijk anders overeengekomen.

Artikel 9: Te laat komen van de klant

Indien de klant te laat verschijnt op de overeengekomen locatie, wordt deze verloren tijd in mindering gebracht op de totale duur van de fotoreportage. De oorspronkelijk overeengekomen prijs blijft onverkort verschuldigd.
Indien de fotoreportage door het te laat komen van de klant niet meer binnen de gereserveerde tijd kan worden uitgevoerd (bijvoorbeeld door aansluitende opdrachten van de fotograaf of het verdwijnen van het benodigde daglicht), wordt de opdracht beschouwd als geannuleerd door de klant en is het volledige offertebedrag (100%) verschuldigd.

Artikel 10: Uitvoering van de opdracht en artistieke stijl

TdProjectPhotography voert de opdracht uit naar beste inzicht, vermogen en conform de eisen van goed vakmanschap.
De selectie en nabewerking van de foto’s gebeuren uitsluitend door de fotograaf volgens de gemaakte afspraken en in de voor TdProjectPhotography gebruikelijke en bekende artistieke stijl. De klant verklaart bekend te zijn met deze stijl.
Er worden onder geen enkele voorwaarde onbewerkte fotobestanden (RAW-bestanden) geleverd.
Indien de klant na oplevering extra nabewerkingen of aanpassingen wenst die buiten de oorspronkelijke overeenkomst vallen, is TdProjectPhotography gerechtigd hiervoor een meerprijs (op basis van het uurtarief) in rekening te brengen.

Artikel 11: Locaties en weersomstandigheden

De klant is verantwoordelijk voor het kiezen en aanwijzen van de locatie(s) voor de fotoreportage.
De klant draagt de volledige verantwoordelijkheid voor het verkrijgen van eventuele toestemming, toegang of vergunningen die vereist zijn voor het fotograferen op de gekozen locatie, evenals voor de eventuele kosten die hieraan verbonden zijn.
Bij buitenlocaties is de klant zelf verantwoordelijk voor het voorzien van een volwaardig alternatief (zoals een binnenlocatie) in geval van slechte weersomstandigheden die het fotograferen onmogelijk maken.
Indien de reportage door weersomstandigheden niet kan doorgaan en er geen alternatieve locatie is voorzien, kan er in overleg een nieuwe afspraak of een studio-opname worden ingepland. De extra kosten voor het verplaatsen of het huren van een studio worden op basis van nacalculatie aan de klant doorberekend.

Artikel 12: Afdrukken, verzending, risico en locatieschade

TdProjectPhotography is onder geen beding aansprakelijk voor de kwaliteit, kleurafwijkingen of onscherpte van afdrukken of fotoproducten die de klant zelf bij derden laat vervaardigen.
TdProjectPhotography is niet verantwoordelijk of aansprakelijk voor eventuele schade, vertragingen of vermissingen die optreden tijdens het transport door derden, zoals bpost of andere koeriersdiensten.
De fotograaf is niet aansprakelijk voor verlies, diefstal, beschadiging of vermissing van eigen apparatuur, geheugenkaarten, opslagmedia of persoonlijke eigendommen tijdens de uitvoering van de opdracht, tenzij er sprake is van opzet of bewuste roekeloosheid aan de zijde van de fotograaf.
Daarnaast is de fotograaf niet aansprakelijk voor onvoorziene technische defecten aan apparatuur, storingen in geheugenkaarten of het onleesbaar worden van data tijdens de opdracht. In geval van diefstal, verlies of technisch falen van apparatuur en reeds gemaakte opnames door overmacht, vervalt de leveringsplicht en is de fotograaf niet gehouden tot het betalen van een schadevergoeding of het kosteloos opnieuw uitvoeren van de opdracht.
TdProjectPhotography is onder geen beding aansprakelijk voor schade aan eigendommen van de klant of derden op de locatie van de opdracht, tenzij deze schade het directe gevolg is van opzet of grove schuld van de fotograaf. De klant is zelf verantwoordelijk voor het vooraf veiligstellen of verwijderen van breekbare, waardevolle of kostbare objecten op de locatie waar gefotografeerd wordt.

Artikel 13: Levering en archivering van foto’s

Fotoreportages worden digitaal geleverd via een online downloadplatform en uitsluitend in JPEG-formaat. Er worden onder geen enkele voorwaarde onbewerkte bestanden (RAW-bestanden) geleverd.
De klant is zelf verantwoordelijk voor het tijdig downloaden en het maken van een veilige back-up van de geleverde foto's.
TdProjectPhotography zal zich maximaal inspannen om de gemaakte reportage tot één (1) jaar na de datum van oplevering te bewaren. TdProjectPhotography is echter onder geen beding aansprakelijk of verantwoordelijk voor het verlies van de reportage of data dat te wijten is aan een technisch defect, storing, computercrash of mankement van de fysieke opslagmedia en/of de cloudomgeving waarin de beelden worden bewaard.
In geval van verlies door de klant binnen deze bewaartermijn kan een nieuwe kopie of downloadlink worden aangevraagd. Hiervoor wordt een administratieve kost aangerekend van €100,- voor een huwelijksreportage of ander evenement met een duur van twee (2) tot zestien (16) uur, en €25,- voor elke andere fotoreportage met een duur tot twee (2) uur.

Artikel 14: TFP-reportages (Time for Portfolio)

Bij een TFP-reportage werken de fotograaf en het model op basis van wederzijdse creatieve uitwisseling zonder financiële vergoeding voor de shoot zelf, tenzij schriftelijk anders overeengekomen.
Annulering door het model dient uiterlijk zes (6) uur vóór de geplande aanvang van de fotoreportage per e-mail te geschieden via info@tdprojectphotography.be.
In geval van een 'no-show' (het niet verschijnen van het model zonder tijdige en geldige annulering conform lid 2), is het model een forfaitaire schadevergoeding van €90,- verschuldigd aan TdProjectPhotography ter compensatie van de gereserveerde tijd en voorbereiding.
Deze vergoeding dient binnen zeven (7) kalenderdagen na de oorspronkelijk geplande datum van de reportage te worden voldaan op basis van een daartoe verzonden invorderingsfactuur.

Artikel 15: Intellectuele eigendom en auteursrecht

Alle door TdProjectPhotography gemaakte foto's, concepten en digitale bestanden blijven te allen tijde het exclusieve intellectuele en juridische eigendom van de fotograaf (krachtens het auteursrecht).
Het bewerken, bijsnijden, toepassen van filters (zoals op sociale media) of op eender welke wijze wijzigen van de opgeleverde foto's is niet toegestaan zonder uitdrukkelijke toestemming van de fotograaf.
Bij publicatie van de foto’s (zowel digitaal als in drukwerk) is de klant verplicht tot een duidelijke naamsvermelding van TdProjectPhotography, tenzij vooraf schriftelijk anders is overeengekomen.

Artikel 16: Portretrecht en promotioneel gebruik

TdProjectPhotography behoudt zich het recht voor om de gemaakte foto’s te gebruiken voor eigen promotionele doeleinden, zoals de eigen website, portfolio, sociale media (waaronder Instagram en Facebook), inzendingen voor wedstrijden en publicaties, tenzij de klant hier voorafgaand aan de reportage expliciet en schriftelijk bezwaar tegen heeft gemaakt.
De klant vrijwaart TdProjectPhotography van eventuele claims van derden (zoals gasten op een evenement of huwelijk) die bezwaar maken tegen de publicatie van hun portret, tenzij er sprake is van een vooraf schriftelijk overeengekomen privacybeperking.

Artikel 17: Exclusiviteit en aanwezigheid van derden

TdProjectPhotography treedt tijdens de opdracht op als exclusieve hoofdfotograaf. Het inschakelen van andere professionele fotografen of videografen voor dezelfde opdracht is uitsluitend toegestaan na voorafgaande, schriftelijke toestemming van TdProjectPhotography.
Gasten, aanwezigen of omstanders mogen tijdens de reportage foto's maken, mits dit de uitvoering van de opdracht en het werk van TdProjectPhotography op geen enkele wijze hindert of belemmert.
TdProjectPhotography is niet aansprakelijk voor kwaliteitsverlies, gemiste momenten of vertragingen in de uitvoering van de opdracht die het directe gevolg zijn van de aanwezigheid of hinder van derden (zoals gasten die het zicht blokkeren of flitslichten van andere apparatuur).

Artikel 18: Klachten en reclamatie

Klachten met betrekking tot de geleverde diensten of de fotobestanden dienen zo spoedig mogelijk, doch uiterlijk binnen veertien (14) kalenderdagen na de datum van oplevering, schriftelijk en gemotiveerd te worden gemeld via info@tdprojectphotography.be.
Na het verstrijken van deze termijn van 14 kalenderdagen wordt de opdracht geacht volledig, naar tevredenheid te zijn uitgevoerd en goedgekeurd door de klant. Klachten die na deze termijn worden ingediend, worden niet meer in behandeling genomen.
Een ingediende klacht schort de betalingsverplichting van de klant onder geen enkele voorwaarde op.

Artikel 19: Contact en communicatie

Alle vragen, verzoeken tot wijzigingen, kennisgevingen of annuleringen met betrekking tot een overeenkomst of deze algemene voorwaarden dienen schriftelijk per e-mail te worden doorgegeven via: info@tdprojectphotography.be

Artikel 20: Toepasselijk recht en bevoegde rechtbank

Op alle rechtsbetrekkingen, offertes, overeenkomsten en facturen waarbij TdProjectPhotography partij is, is uitsluitend het Belgisch recht van toepassing.
Voor zover de wet dit toestaat, worden alle geschillen die voortvloeien uit of verband houden met overeenkomsten tussen TdProjectPhotography en een zakelijke klant (B2B) exclusief voorgelegd aan de bevoegde rechtbanken van het arrondissement waarin TdProjectPhotography is gevestigd.
Bij geschillen met een particuliere klant (consument/B2C) gelden de wettelijke regels omtrent de bevoegdheid van de rechtbank.

General Terms and Conditions TdProjectPhotography

Article 1: Applicability

These general terms and conditions apply to all quotations, offers, orders, agreements, deliveries of services or products, and invoices by or on behalf of TdProjectPhotography.
Any deviation from these terms and conditions is only possible if explicitly agreed upon in writing by both parties.

Article 2: Quotations and Offers

All offers and unsigned quotations from TdProjectPhotography are without obligation, unless explicitly stated otherwise.
A quotation signed and/or accepted in writing by the client shall be considered a binding agreement. If an advance payment is made, the quotation shall likewise become binding.
Quotations and offers have a maximum validity period of one (1) week from the date of issue, unless stated otherwise. In the event of untimely acceptance, the quotation expires automatically.
Issued quotations do not automatically apply to future assignments or re-orders, unless explicitly agreed upon in writing.

Article 3: Acceptance of Quotations

By accepting a quotation, the client explicitly agrees to the general terms and conditions of TdProjectPhotography and all provisions contained therein.
Modifications to the agreed assignment can only take place with the mutual, written consent of both parties.
TdProjectPhotography reserves the right to adjust the price of the agreement if the client requests modifications to the assignment after acceptance, or in the event of unforeseen, mandatory external cost increases.

Article 4: Payments and Payment Terms
4.1 Advance Payment and Remaining Balance

Upon acceptance of a quotation, the client is required to pay an advance payment of 30% of the total quotation amount. The payment of this advance also implies the unconditional acceptance of these general terms and conditions.
The remaining balance must be paid in full no later than seven (7) days before the date of the photoshoot.
For last-minute bookings (within 7 days prior to the photoshoot), the full invoice amount must be paid immediately upon booking.
Payments must be made via bank transfer to the bank account number stated on the quotation or invoice.

4.2 Payment Terms and Suspension

Invoices must be paid no later than the stated due date. If payment is not received within this period, the client shall be in default by operation of law without any further notice of default being required.
As of the due date, the photographer is entitled to charge statutory (commercial) interest and extrajudicial collection costs in accordance with applicable legislation.
TdProjectPhotography reserves the right to suspend the execution of the assignment or the delivery of the final photographs until all outstanding amounts have been paid in full.

4.3 Non-Payment and Collection Costs

In the event of late payment by a business client (B2B), the outstanding amount will automatically and without prior notice be increased by interest in accordance with the Law on Combatting Late Payment in Commercial Transactions, plus a fixed compensation fee of €40.- for administrative costs.
In the event of late payment by a private consumer (B2C), a free first reminder will be sent with a statutory payment term of fourteen (14) days. After this period expires, statutory interest and the maximum legally permitted damages will be charged.
If the client remains in default, TdProjectPhotography will engage a collection agency or bailiff. All associated extrajudicial and judicial costs shall be borne entirely by the client.

Article 5: Prices, Additional Hours, and Expenses

All prices of TdProjectPhotography are expressed in euros (€). TdProjectPhotography is exempt from VAT under the special exemption scheme for small enterprises; consequently, no VAT will be charged.
If the photoshoot runs over or is extended at the request of the client, an additional fee for extra hours will be charged.
The rates for additional hours are €90.- per hour for hours between 07:00 and 22:00, and €120.- per hour for hours between 22:00 and 07:00. These additional hours are calculated per started half-hour and will be added to the final invoice based on actual time incurred, unless agreed otherwise in advance.
All expenses related to parking (including street parking, parking garages, and any necessary parking permits) incurred by the photographer at the assignment location are not included in the standard rates. These costs will be charged in full to the client based on actual costs incurred. The client is responsible for providing advance notice of any parking restrictions or specific instructions regarding the accessibility of the location.
If the travel time, schedule, or duration of the assignment requires an overnight stay, all hotel expenses will be charged in full to the client. The necessity of an overnight stay will always be coordinated with the client in advance. Unless agreed otherwise, the photographer will book and pay for the accommodation (based on a standard double room including breakfast in a comfortable mid-range hotel), after which these expenses will be added to the final invoice based on actual costs incurred.

Article 6: Cancellation by the Client
6.1 Right of Withdrawal (Cooling-off Period)

If the agreement is concluded at a distance (e.g., online or via email), the private client (consumer) has the statutory right to withdraw from the assignment within fourteen (14) calendar days from the date of acceptance, free of charge and without giving reasons.
This right of withdrawal lapses if the photoshoot has been fully executed within this 14-day period with the explicit consent of the client.

6.2 Cancellation of Wedding Photography

After the statutory withdrawal period has expired, the client can only cancel the wedding photography assignment in writing via email (to info@tdprojectphotography.be) under the following conditions:
- In the event of cancellation up to 31 calendar days before the scheduled date of the wedding photography, the client is liable for a fixed fee of 30% of the total quotation amount (corresponding to the advance payment made).
- In the event of cancellation from 30 calendar days up to the scheduled date of the wedding photography, the client is liable for the full amount (100%) of the quotation.

6.3 Cancellation of Other Photoshoots

For all non-wedding photoshoots, the following cancellation terms apply after the withdrawal period:
- In the event of cancellation up to seven (7) calendar days before the scheduled date of the photoshoot, a fee of 30% of the total amount is due.
- In the event of cancellation within seven (7) calendar days before the date of the photoshoot, the full quotation amount (100%) is due.

Article 7: Cancellation or Force Majeure by TdProjectPhotography

TdProjectPhotography reserves the right to terminate the agreement without giving reasons and free of charge within a period of seven (7) calendar days following the date of acceptance of the quotation. Any payments already made will be fully refunded within 14 days.
In the event of force majeure (including extreme weather conditions, serious illness or accident of the photographer, acute technical failures, or government measures), TdProjectPhotography reserves the right to cancel or reschedule the assignment.
In such an event, TdProjectPhotography will make every effort to find an equivalent replacement photographer. If this proves impossible, the agreement will be dissolved, and the client will receive a full refund of all (advance) payments already made.

Article 8: Rescheduling or Postponement of the Assignment

The client may reschedule a regular photoshoot (excluding wedding photography) free of charge up to twenty (20) calendar days after the date of acceptance of the quotation, provided the new date falls within the same calendar year and is subject to the availability of TdProjectPhotography.
For rescheduling requested after this 20-calendar-day period, an administrative fee of 10% of the total quotation amount will be charged, excluding any travel or accommodation expenses already incurred.
Due to specific calendar scheduling, the rescheduling of a wedding photography assignment by the client shall always be treated as a cancellation, to which the conditions of Article 6.2 apply in full, unless explicitly agreed otherwise in writing.

Article 9: Late Arrival by the Client

If the client arrives late at the agreed location, this lost time will be deducted from the total duration of the photoshoot. The originally agreed price remains due in full.
If, due to the client's late arrival, the photoshoot can no longer be executed within the reserved timeframe (for instance, due to consecutive assignments of the photographer or loss of necessary daylight), the assignment will be considered cancelled by the client, and the full quotation amount (100%) shall be due.

Article 10: Execution of the Assignment and Artistic Style

TdProjectPhotography shall execute the assignment to the best of its knowledge, ability, and in accordance with the requirements of good craftsmanship.
The selection and editing of the photographs are performed exclusively by the photographer according to the agreements made and in the artistic style characteristic of and established by TdProjectPhotography. The client declares to be familiar with this style.
Under no circumstances shall unedited image files (RAW files) be delivered.
If the client requests additional editing or adjustments after delivery that fall outside the scope of the original agreement, TdProjectPhotography is entitled to charge an additional fee (based on the hourly rate) for this work.

Article 11: Locations and Weather Conditions

The client is responsible for selecting and designating the location(s) for the photoshoot.
The client bears full responsibility for obtaining any permissions, access, or permits required for photography at the chosen location, as well as for any associated costs.
For outdoor locations, the client is responsible for providing a suitable alternative (such as an indoor location) in the event of poor weather conditions that make photography impossible.
If the photoshoot cannot take place due to weather conditions and no alternative location has been provided, a new appointment or a studio session can be scheduled in consultation. The additional costs for rescheduling or renting a studio will be charged to the client based on actual costs incurred.

Article 12: Prints, Shipping, Risk, and Property Damage

Under no circumstances shall TdProjectPhotography be held liable for the quality, color deviations, or blurriness of prints or photo products that the client has manufactured independently through third parties.
TdProjectPhotography is not responsible or liable for any damage, delays, or losses that occur during transport by third parties, such as bpost or other courier services.
The photographer shall not be held liable for any loss, theft, damage, or disappearance of their own equipment, memory cards, storage media, or personal belongings during the execution of the assignment, except in cases of intent or deliberate recklessness on the part of the photographer.
Furthermore, the photographer shall not be liable for unforeseen technical defects in equipment, memory card failures, or data corruption during the assignment. In the event of theft, loss, or technical failure of equipment and already captured footage due to force majeure, the obligation to deliver shall lapse, and the photographer shall not be liable for any compensation, damages, or re-executing the assignment free of charge.
Under no circumstances shall TdProjectPhotography be held liable for any damage to properties of the client or third parties at the assignment location, unless such damage is the direct result of intent or gross negligence by the photographer. The client is solely responsible for securing or removing fragile, valuable, or precious objects in advance at the location where the photoshoot takes place.

Article 13: Delivery and Archiving of Photographs

Photoshoots are delivered digitally via an online download platform and exclusively in JPEG format. Under no circumstances shall unedited files (RAW files) be delivered.
The client is solely responsible for downloading the delivered photographs in a timely manner and creating a secure backup.
TdProjectPhotography will make every reasonable effort to store the captured photoshoot for up to one (1) year after the delivery date. However, TdProjectPhotography shall under no circumstances be held liable or responsible for any loss of the photoshoot or data due to a technical failure, system crash, or malfunction of the physical storage media and/or the cloud environment where the images are stored.
In the event of loss by the client within this storage period, and provided the images are still available, a new copy or download link can be requested. An administrative fee will be charged for this service, amounting to €100.- for a wedding photoshoot or other event with a duration of two (2) to sixteen (16) hours, and €25.- for any other photoshoot with a duration of up to two (2) hours.

Article 14: TFP Photoshoots (Time for Portfolio)

For a TFP photoshoot, the photographer and the model work on the basis of a mutual creative exchange without financial compensation for the photoshoot itself, unless explicitly agreed otherwise in writing.
Cancellation by the model must be done via email to info@tdprojectphotography.be no later than six (6) hours before the scheduled start of the photoshoot.
In the event of a 'no-show' (the model failing to appear without timely and valid cancellation in accordance with paragraph 2), the model shall owe a flat-rate compensation fee of €90.- to TdProjectPhotography to compensate for the reserved time and preparation.
This compensation fee must be paid within seven (7) calendar days after the originally scheduled date of the photoshoot, based on a recovery invoice sent for this purpose.

Article 15: Intellectual Property and Copyright

All photographs, concepts, and digital files created by TdProjectPhotography remain at all times the exclusive intellectual and legal property of the photographer (under copyright law).
Editing, cropping, applying filters (such as on social media), or modifying the delivered photographs in any way is not permitted without the explicit consent of the photographer.
When publishing the photographs (both digitally and in print), the client is required to include a clear credit to TdProjectPhotography, unless agreed otherwise in writing in advance.

Article 16: Portrait Rights and Promotional Use

TdProjectPhotography reserves the right to use the captured photographs for its own promotional purposes, including its website, portfolio, social media channels (such as Instagram and Facebook), contest submissions, and publications, unless the client has explicitly objected to this in writing prior to the photoshoot.
The client indemnifies TdProjectPhotography against any claims from third parties (such as guests at an event or wedding) who object to the publication of their portrait, unless a written privacy restriction was agreed upon in advance.

Article 17: Exclusivity and Presence of Third Parties

TdProjectPhotography acts as the exclusive lead photographer during the assignment. Engaging other professional photographers or videographers for the same assignment is only permitted with the prior written consent of TdProjectPhotography.
Guests, attendees, or bystanders are permitted to take photographs during the photoshoot, provided that this does not hinder or obstruct the execution of the assignment and the work of TdProjectPhotography in any way.
TdProjectPhotography shall not be held liable for any loss of quality, missed moments, or delays in the execution of the assignment that are the direct result of interference or hindrance by third parties (such as guests blocking the view or flash interference from other devices).

Article 18: Complaints and Reclamation

Complaints regarding the delivered services or the photo files must be reported in writing and with justification via email to info@tdprojectphotography.be as soon as possible, but no later than fourteen (14) calendar days after the delivery date.
After this period of 14 calendar days has expired, the assignment is deemed to have been executed fully and satisfactorily, and approved by the client. Complaints submitted after this period will not be taken into consideration.
Under no circumstances shall a submitted complaint suspend the client's payment obligation.

Article 19: Contact and Communication

All questions, requests for modifications, notices, or cancellations regarding an agreement or these general terms and conditions must be submitted in writing via email to info@tdprojectphotography.be.

Article 20: Applicable Law and Competent Court

All legal relationships, quotations, agreements, and invoices to which TdProjectPhotography is a party shall be governed exclusively by Belgian law.
To the extent permitted by law, any disputes arising out of or in connection with agreements between TdProjectPhotography and a business client (B2B) shall be submitted exclusively to the competent courts of the judicial district where TdProjectPhotography is established.
For disputes involving a private consumer (B2C), the statutory legal rules regarding court jurisdiction shall apply.

Conditions Générales de Vente TdProjectPhotography

Article 1 : Applicabilité

Les présentes conditions générales s'appliquent à tous les devis, offres, commandes, contrats, livraisons de services ou de produits et factures émis par ou au nom de TdProjectPhotography.
Il ne peut être dérogé aux présentes conditions que si cela a été convenu explicitement et par écrit entre les deux parties.

Article 2 : Devis et offres

Toutes les offres et tous les devis non signés de TdProjectPhotography sont sans engagement, sauf indication contraire expresse.
Un devis signé et/ou accepté par écrit par le client est considéré comme un contrat contraignant. Si un acompte est versé, le devis devient également contraignant.
Les devis et offres sont valables pour une durée maximale d'une (1) semaine à compter de leur date d'envoi, sauf indication contraire. En cas d'acceptation tardive, le devis expire automatiquement.
Les devis émis ne s'appliquent pas automatiquement aux commandes futures ou aux réassorts, sauf accord écrit explicite.

Article 3 : Acceptation des devis

En acceptant un devis, le client accepte expressément les conditions générales de TdProjectPhotography et toutes les dispositions qui y sont contenues.
Les modifications de la mission convenue ne peuvent avoir lieu qu'avec l'accord mutuel et écrit des deux parties.
TdProjectPhotography se réserve le droit d'ajuster le prix du contrat si le client apporte des modifications à la mission après acceptation, ou en cas de hausses imprévues et contraignantes de coûts externes.

Article 4 : Paiements et délais de paiement
4.1 Acompte et solde

Lors de l'acceptation d'un devis, le client est redevable d'un acompte de 30 % du montant total du devis. Le paiement de cet acompte implique également l'acceptation inconditionnelle des présentes conditions générales.
Le solde restant doit être intégralement payé au plus tard sept (7) jours avant la date du reportage photo.
Pour las réservations de dernière minute (dans les 7 jours précédant le reportage), le paiement intégral de la facture est exigé dès la réservation.
Les paiements doivent être effectués par virement bancaire sur le numéro de compte indiqué sur le devis ou la facture.

4.2 Conditions de paiement et suspension

Les factures doivent être payées au plus tard à la date d'échéance mentionnée. Si le paiement n'est pas reçu dans ce délai, le client est en demeure de plein droit, sans qu'un rappel formel ne soit nécessaire.
À compter de la date d'échéance, le photographe est en droit de facturer les intérêts légaux (commerciaux) et les frais de recouvrement extrajudiciaires conformément à la législation en vigueur.
TdProjectPhotography a le droit de suspendre l'exécution de la mission ou la livraison des photos définitives jusqu'à ce que tous les montants impayés soient intégralement réglés.

4.3 Non-paiement et frais de recouvrement

En cas de retard de paiement par un client professionnel (B2B), le montant impayé sera majoré de plein droit et sans mise en demeure préalable d'un taux d'intérêt conforme à la loi concernant la lutte contre le retard de paiement dans les transactions commerciales, augmenté d'une indemnité forfaitaire de 40 € pour frais administratifs.
En cas de retard de paiement par un client particulier (consommateur/B2C), un premier rappel gratuit est envoyé avec un délai de paiement légal de quatorze (14) jours. Après l'expiration de ce délai, les intérêts légaux et les indemnités maximales autorisées par la loi seront facturés.
Si le client reste défaillant, TdProjectPhotography fera appel à une agence de recouvrement ou à un huissier de justice. Tous les frais extrajudiciaires et judiciaires y afférents seront entièrement à la charge du client.

Article 5 : Tarifs, heures supplémentaires et frais annexes

Tous les prix de TdProjectPhotography sont exprimés en euros (€). TdProjectPhotography bénéficie du régime de franchise de taxe pour les petites entreprises ; par conséquent, aucune TVA n'est facturée.
Si le reportage photo dépasse la durée prévue ou est prolongé à la demande du client, un supplément pour heures supplémentaires sera facturé.
Les tarifs pour les heures supplémentaires s'élèvent à 90 € par heure pour les heures comprises entre 07:00 et 22:00, et à 120 € par heure pour les heures comprises entre 22:00 et 07:00. Ces heures supplémentaires sont calculées par demi-heure entamée et sont ajoutées à la facture finale sur la base des coûts réels, sauf accord contraire préalable.
Tous les frais de stationnement (y compris le stationnement payant dans la rue, les parkings couverts et les éventuels permis de stationnement) que le photographe doit engager sur le lieu de la mission ne sont pas inclus dans les tarifs standards. Ces frais seront entièrement répercutés sur le client sur la base des coûts réels. Le client est responsable de communiquer à l'avance toute restriction de stationnement ou instruction spécifique concernant l'accessibilité du lieu.
Si le temps de voyage, le planning ou la durée de la mission rendent une nuitée nécessaire, les frais d'hôtel seront entièrement facturés au client. La nécessité de cette nuitée sera toujours convenue au préalable avec le client. Sauf accord contraire, le photographe réserve et paie l'hébergement (sur la base d'une chambre double standard avec petit-déjeuner inclus dans un hôtel de milieu de gamme confortable), après quoi ces frais sont ajoutés à la facture finale sur la base des coûts réels.

Article 6 : Annulation par le client
6.1 Droit de rétractation (Délai de réflexion)

Si le contrat est conclu à distance (par exemple en ligne ou par e-mail), le client particulier (consommateur) a le droit légal de rétracter sa commande dans un délai de quatorze (14) jours calendrier à compter de la date d'acceptation, sans frais et sans motif.
Ce droit de rétractation expire si le reportage photo a été entièrement exécuté dans ce délai de 14 jours avec l'accord exprès du client.

6.2 Annulation de reportages de mariage

Après l'expiration du délai légal de rétractation, le client peut annuler le reportage de mariage exclusivement par e-mail (via info@tdprojectphotography.be) aux conditions suivantes :
- En cas d'annulation jusqu'à 31 jours calendrier avant la date prévue du reportage de mariage, le client est redevable d'une indemnité fixe de 30 % du montant total du devis (correspondant à l'acompte versé).
- En cas d'annulation à partir de 30 jours calendrier jusqu'à la date prévue du reportage de mariage, le client est redevable de la totalité du montant (100 %) du devis.

6.3 Annulation d'autres reportages

Pour tous les reportages ne concernant pas un mariage, les conditions d'annulation suivantes s'appliquent après le délai de rétractation :
- En cas d'annulation jusqu'à sept (7) jours calendrier avant la date prévue du reportage, une indemnité de 30 % du montant total est due.
- En cas d'annulation dans les sept (7) jours calendrier avant la date du reportage, la totalité du montant du devis (100 %) est due.

Article 7 : Annulation ou force majeure dans le chef de TdProjectPhotography

TdProjectPhotography se réserve le droit de résilier le contrat, sans indication de motifs et sans frais, dans un délai de sept (7) jours calendrier suivant la date d'acceptation du devis. Les paiements déjà effectués seront entièrement remboursés dans les 14 jours.
En cas de force majeure (y compris les conditions météorologiques extrêmes, maladie grave ou accident du photographe, pannes techniques aiguës ou mesures gouvernementales), TdProjectPhotography a le droit d'annuler ou de reporter la mission.
Dans ce cas, TdProjectPhotography fera ses meilleurs efforts pour trouver un photographe de remplacement équivalent. Si cela s'avère impossible, le contrat est dissous et le client est intégralement remboursé de tous les paiements (acomptes) déjà effectués.

Article 8 : Report ou modification de la date de la mission

Le client peut reporter gratuitement un reportage photo régulier (à l'exclusion des reportages de mariage) jusqu'à vingt (20) jours calendrier après la date d'acceptation du devis vers une nouvelle date, à condition que cette date se situe au cours de la même année civile et sous réserve de la disponibilité de TdProjectPhotography.
En cas de report de la mission après ce délai de 20 jours calendrier, un supplément administratif de 10 % du montant total du devis sera facturé, hors frais de déplacement ou d'hôtel éventuellement déjà engagés.
Le report d'un reportage de mariage par le client est toujours considéré comme une annulation en raison du planning spécifique de l'agenda, et les conditions de l'article 6.2 s'appliquent intégralement, sauf accord écrit contraire exprès.

Article 9 : Retard du client

Si le client arrive en retard sur le lieu convenu, ce temps perdu sera déduit de la durée totale du reportage photo. Le prix initialement convenu reste intégralement dû.
Si, en raison du retard du client, le reportage photo ne peut plus être réalisé dans le créneau horaire réservé (par exemple, en raison de missions consécutives du photographe ou de la disparition de la lumière du jour nécessaire), la mission est considérée comme annulée par le client et la totalité du montant du devis (100 %) est due.

Article 10 : Exécution de la mission et style artistique

TdProjectPhotography exécute la mission au mieux de ses connaissances, de ses capacités et conformément aux exigences du bon savoir-faire professionnel.
La sélection et la retouche des photos sont effectuées exclusivement par le photographe selon les accords conclus et dans le style artistique habituel et reconnu de TdProjectPhotography. Le client déclare être familier avec ce style.
Aucun fichier photo non retouché (fichiers RAW) ne sera livré, sous aucune condition.
Si le client souhaite des retouches ou des ajustements supplémentaires après la livraison, qui sortent du cadre du contrat initial, TdProjectPhotography est en droit de facturer un supplément (sur la base du tarif horaire) pour ce travail.

Article 11 : Lieux et conditions météorologiques

Le client est responsable du choix et de l'indication du ou des lieux du reportage photo.
Le client assume l'entière responsabilité de l'obtention de toutes les autorisations, accès ou permis requis pour photographier sur le lieu choisi, ainsi que des frais éventuels y afférents.
Pour les lieux en extérieur, il incombe au client de prévoir une alternative valable (telle qu'un lieu en intérieur) en cas de mauvaises conditions météorologiques rendant la photographie impossible.
Si le reportage ne peut avoir lieu en raison des conditions météorologiques et qu'aucune alternative n'a été prévue, un nouveau rendez-vous ou une séance en studio peut être planifié en concertation. Les frais supplémentaires pour le report ou la location d'un studio seront facturés au client sur la base des coûts réels.

Article 12 : Impressions, expédition, risques et dommages aux biens

TdProjectPhotography ne peut en aucun cas être tenu responsable de la qualité, des écarts de couleur ou du manque de netteté des impressions ou des produits photo que le client fait réaliser lui-même auprès de tiers.
TdProjectPhotography n'est pas responsable ni en aucun cas passible de poursuites pour les dommages, retards ou pertes éventuels survenant lors du transport par des tiers, tels que bpost ou d'autres services de coursier.
Le photographe n'est pas responsable de la perte, du vol, des dommages ou de la disparition de son propre matériel, de ses cartes mémoire, de ses supports de stockage ou de ses effets personnels pendant l'exécution de la mission, sauf en cas de dol ou de témérité consciente dans le chef du photographe.
De plus, le photographe n'est pas responsable des défauts techniques imprévus du matériel, des dysfonctionnements des cartes mémoire ou de l'illisibilité des données pendant la mission. En cas de vol, de perte ou de défaillance technique du matériel et des prises de vue déjà réalisées en raison d'un cas de force majeure, l'obligation de livraison s'éteint et le photographe n'est tenu à aucun dommage et intérêt ni à réexécuter la mission gratuitement.
TdProjectPhotography ne peut en aucun cas être tenu responsable des dommages causés aux biens du client ou de tiers sur le lieu de la mission, sauf si ces dommages sont la conséquence directe d'un dol ou d'une faute grave du photographe. Il incombe au client de sécuriser ou de déplacer au préalable les objets fragiles, de valeur ou précieux sur le lieu du reportage.

Article 13 : Livraison et archivage des photos

Les reportages photos sont livrés numériquement via une plateforme de téléchargement en ligne et exclusivement au format JPEG. Aucun fichier non retouché (fichier RAW) ne sera livré, sous aucune condition.
Le client est personnellement responsable du téléchargement en temps utile et de la création d'une sauvegarde (backup) sécurisée des photos livrées.
TdProjectPhotography fera ses meilleurs efforts pour conserver le reportage réalisé jusqu'à un (1) an après la date de livraison. Cependant, TdProjectPhotography ne peut en aucun cas être tenu responsable de la perte du reportage ou des données due à un défaut technique, une panne, un plantage informatique ou un dysfonctionnement des supports de stockage physiques et/ou de l'environnement cloud où les images sont conservées.
En cas de perte par le client au cours de cette période de conservation, une nouvelle copie ou un nouveau lien de téléchargement peut être demandé. Pour ce faire, des frais administratifs seront facturés à hauteur de 100 € pour un reportage de mariage ou autre événement d'une durée de deux (2) à seize (16) heures, et de 25 € pour tout autre reportage photo d'une durée allant jusqu'à deux (2) heures.

Article 14 : Reportages TFP (Time for Portfolio)

Dans le cadre d'un reportage TFP, le photographe et le modèle travaillent sur la base d'un échange créatif mutuel sans rémunération financière pour la séance elle-même, sauf accord écrit contraire.
L'annulation par le modèle doit être notifiée par e-mail à info@tdprojectphotography.be au plus tard six (6) heures avant le début prévu du reportage photo.
En cas de « no-show » (non-présentation du modèle sans annulation préalable valide et dans les temps conformément à l'alinéa 2), le modèle est redevable d'une indemnité forfaitaire de 90 € à TdProjectPhotography en compensation du temps réservé et de la préparation.
Cette indemnité doit être payée dans les sept (7) jours calendrier suivant la date initialement prévue du reportage, sur la base d'une facture de recouvrement envoyée à cet effet.

Article 15 : Propriété intellectuelle et droits d'auteur

Toutes les photos, tous les concepts et tous les fichiers numériques créés par TdProjectPhotography restent à tout moment la propriété intellectuelle et juridique exclusive du photographe (en vertu du droit d'auteur).
La retouche, le recadrage, l'application de filtres (comme sur les réseaux sociaux) ou la modification de quelque manière que ce soit des photos livrées ne sont pas autorisés sans l'accord exprès du photographe.
Lors de la publication des photos (tant sur support numérique que papier), il est obligatoire pour le client de mentionner clairement le nom de TdProjectPhotography, sauf accord écrit contraire préalable.

Article 16 : Droit à l'image et utilisation promotionnelle

TdProjectPhotography se réserve le droit d'utiliser les photos prises à des fins promotionnelles propres, telles que son site web, son portfolio, ses réseaux sociaux (notamment Instagram et Facebook), ses participations à des concours et ses publications, à moins que le client ne s'y soit opposé explicitement et par écrit avant le reportage.
Le client garantit TdProjectPhotography contre toute réclamation de tiers (tels que les invités d'un événement ou d'un mariage) qui s'opposeraient à la publication de leur portrait, sauf restriction de confidentialité préalablement convenue par écrit.

Article 17 : Exclusivité et présence de tiers

TdProjectPhotography agit en tant que photographe principal exclusif pendant la mission. L'intervention d'autres photographes ou vidéastes professionnels pour la même mission est uniquement autorisée moyennant l'accord préalable et écrit de TdProjectPhotography.
Les invités, personnes présentes ou spectateurs peuvent prendre des photos pendant le reportage, à condition que cela ne gêne ni n'entrave en rien l'exécution de la mission et le travail de TdProjectPhotography.
TdProjectPhotography n'est pas responsable de la perte de qualité, des moments manqués ou des retards dans l'exécution de la mission qui sont la conséquence directe de la présence ou de la gêne occasionnée par des tiers (tels que des invités bloquant la vue ou l'interférence des flashs d'autres appareils).

Article 18 : Réclamations et plaintes

Les réclamations relatives aux services fournis ou aux fichiers photos doivent être notifiées par écrit et de manière motivée via info@tdprojectphotography.be le plus rapidement possible, et au plus tard dans les quatorze (14) jours calendrier suivant la date de livraison.
Après l'expiration de ce délai de 14 jours calendrier, la mission est considérée comme exécutée de manière complète, satisfaisante et approuvée par le client. Les réclamations introduites après ce délai ne seront plus prises en considération.
Une réclamation introduite ne suspend en aucun cas l'obligation de paiement du client.

Article 19 : Contact et communication

Toutes les questions, demandes de modifications, notifications ou annulations relatives à un contrat ou aux présentes conditions générales doivent être transmises par écrit par e-mail à l'adresse: info@tdprojectphotography.be

Article 20 : Droit applicable et tribunal compétent

Toutes les relations juridiques, tous les devis, tous les contrats et toutes les factures auxquels TdProjectPhotography est partie sont exclusivement régis par le droit belge.
Dans la mesure autorisée par la loi, tout litige découlant de ou lié aux contrats entre TdProjectPhotography et un client professionnel (B2B) sera exclusivement soumis aux tribunaux compétents de l'arrondissement dans lequel TdProjectPhotography est établi.
Pour les litiges impliquant un client particulier (consommateur/B2C), les règles légales relatives à la compétence des tribunaux s'appliquent.
